TERMS OF SERVICE

Effective March 1, 2020 

Please read this Terms of Service carefully because it is important to establish what you can expect from us as you use tellic services, and what we expect from you. By using our services, you agree to and accept these terms.

Service provider

tellic LLC
organized under the laws of the State of New York, USA, and operating under the laws of the USA.

Your relationship with tellic

These terms help define the relationship between you and tellic. Broadly speaking, we give you permission to use our services if you agree to follow these terms. When we speak of “tellic,” “we,” “us,” and “our,” we mean tellic LLC.

What you can expect from us

Provide services

We provide services that are subject to these terms, including +tellic, +biotext, +mytext, +knowledgen, +kgraph, +explorer, +notebooks, tellic graph, tellic graph.C19, and the data that is presented in the graph.  Our services also include training and documentation.

Improve tellic services

We are constantly developing new technologies and features to improve our services. As part of this continual improvement, we sometimes add or remove features and functionalities, increase or decrease limits to our services, and start offering new services or stop offering old ones.

If we make material changes that negatively impact your use of our services or if we stop offering a service, we will provide you with reasonable advance notice, except in urgent situations such as preventing abuse, responding to legal requirements, or addressing security and operability issues.

Provide support for tellic services

Our support is provided at no additional charge.  Support levels vary based on the service, see the section “Service-specific additional terms” for details.

What we expect from you

Follow these terms

The permission we give you to use our services continues as long as you meet your responsibilities in these terms. Although we give you permission to use our services, we retain any intellectual property rights we have in the services.

Subscription and payment

Your subscription will automatically renew according to the term that you purchased. Payment is due before your subscription begins. You may cancel your subscription by sending an email to support@tellic.com at least 30 days before the end date for annual subscriptions, at least 14 days for monthly subscriptions, and at least 1 business day for promotional (free) subscriptions.

Using tellic services

Your tellic account

Our services require that you have a tellic account in order to work.

You are responsible for what you do with your tellic account, including taking reasonable steps to keep your tellic account secure, and ensuring others do not access to your account.

You must not try to recreate, reproduce, or redistribute the tellic services or our intellectual property.

Service-related communications

To provide you with our services, we sometimes send you service announcements and other information. To learn more about how we communicate with you, see tellic’s Privacy Policy.

If you choose to give us feedback, such as suggestions to improve our services, we may act on your feedback without obligation to you.  Any suggestions or feedback provided by you will be owned by tellic.

Content in tellic services

Our services include content that belongs to tellic — for example, all of the visualization you see in tellic graph. You may use tellic’s content as allowed by these terms, but we retain any intellectual property rights that we have in our content. Do not remove, obscure, or alter any of our branding, logos, legal notices, or any other content accessible from our services.

You may view all source records and manually download up to 50 source records per query.

Service-specific additional terms

If you use tellic.C19 results or insights in your publications, then you shall cite the use of tellic graph.c19 as research methodology in any publications describing work stemming from tellic graph.c19 searches, and shall include the graph version used, date accessed, and a brief description. For example: “In the target identification process, we used tellic graph.c19, which uses NLP and AI to process millions of data points across multiple sources (www.tellic.com, tellic graph.c19, searched March 26, 2020).” Contact tellic for best practice language if you need to include additional details about the services.

If you stop using this service for more than one week, we may close your account so another researcher may use this service.

If we stop offering this service or decide to cancel your free subscription, we’ll provide you with one day advance notice.

Intellectual Property Rights

We own and keep all intellectual property rights to the design, software, models, source code, training materials, and content generated by tellic to tellic graph and tellic graph.C19. You may not share tellic intellectual property rights.

The term “Intellectual Property Rights” means copyrights, trademarks, service marks, trade secrets, know-how, patents, patent applications, moral rights, contractual rights of non-disclosure or any other intellectual property or proprietary rights, however arising, throughout the world.

In case of problems or disagreements

By law, you have the right to (1) a certain quality of service, and (2) ways to fix problems if things go wrong. These terms don’t limit or take away any of those rights. For example, if you are a consumer, then you continue to enjoy all legal rights granted to consumers under applicable law.

Warranty

We provide our services “as is” “with all faults” and without any warranty. If we do not meet your standard of quality, you agree to tell us and we will work with you to try to resolve the issue.  But tellic has no obligation to make any changes to our services or make any other accommodations.

We employ industry standard practices regarding the security and integrity of our services.  We shall bear no responsibility or liability for any malicious attack or any unauthorized use of our services.

Disclaimers

The only commitments we make about our services (including the content in the services, the specific functions of our services, or their reliability, availability, or ability to meet your needs) are (1) described in the Warranty section, (2) stated in the service-specific additional terms, or (3) provided under applicable laws. We don’t make any other commitments about our services.

And unless required by law, we don’t provide implied warranties, such as the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Liabilities

These terms only limit our responsibilities as allowed by applicable law. Specifically, these terms do not limit tellic’s liability for death or personal injury, fraud, fraudulent misrepresentation, gross negligence, or willful misconduct.

Other than the rights and responsibilities described in this section (In case of problems or disagreements), tellic will not be responsible for any other losses.

Taking action in case of problems

Before taking action as described below, tellic will: provide you with advance notice when reasonably possible; describe the reason for our action; and give you an opportunity to fix the problem, unless we reasonably believe that doing so would:

  • cause harm or liability to a user, third party, or tellic;

  • violate the law or a legal enforcement authority’s order, such as a court or government order;

  • compromise an investigation; or

  • compromise the operation, integrity, or security of our services.

Suspending or terminating your access to tellic services

tellic reserves the right to suspend or terminate your access to the services or delete your tellic account if any of the below things happen.

  • Your subscription has ended, and you have given sufficient notice to cancel.  Notice thresholds are listed in section “Subscription and payment”. 

  • Your Company administrator has asked us to terminate your access.

  • You materially or repeatedly breach these terms.

  • We are required to do so to comply with a legal requirement or a court order.

  • We reasonably believe that your conduct causes harm or liability to a user, third party, or tellic — for example, by hacking, downloading, or scraping content that doesn’t belong to you

If you believe your tellic account has been suspended or terminated in error, you can appeal by emailing info@tellic.com.

Of course, you are always free to cancel your subscription early, provided that we will not provide any refunds for early cancellations.  All sales are final, and no refunds will be given for cancelling your subscription. If you do stop using a service, we would appreciate knowing why so that we can continue improving our services.

Settling disputes, governing law, and courts

New York law will govern all disputes arising out of or relating to these terms regardless of conflict of laws rules. Jurisdiction and venue for all disputes hereunder shall be in New York, New York.

The parties waive any right to a jury trial in any proceeding arising out of or related to this agreement, services or content provided hereunder.

About these terms

By law, you have certain rights that can’t be limited by a contract like these terms of service. These terms are in no way intended to restrict those rights.

These terms describe the relationship between you and tellic. They don’t create any legal rights for other people or organizations, even if others benefit from that relationship under these terms.

If any of these terms conflict with the service-specific additional terms, the additional terms will govern for that service.

If it turns out that a particular term is not valid or enforceable, this will not affect any other terms.

If you do not follow these terms, and we do not take action right away, that does not mean we are giving up any rights that we may have, such as taking action in the future.

We may update these terms (1) to reflect changes in our services or how we do business — for example, when we add new services, features, technologies, pricing, or benefits (or remove old ones), (2) for legal, regulatory, or security reasons, or (3) to prevent abuse or harm.

If we materially change these terms, we will provide you with reasonable advance notice and the opportunity to review the changes, except (1) when we launch a new service or feature, or (2) in urgent situations, such as preventing ongoing abuse or responding to legal requirements. If you do not agree to the new terms, you should stop using the services. You can also end your relationship with us at any time by closing your tellic account.
